The Supreme People's Court recently released the "Interpretation on Several Issues Concerning the Application of the Company Law of the People's Republic of China (Draft for Comments)," publicly soliciting opinions from the public until October 20, 2025.
The Draft for Comments elaborates on the judicial application of the Company Law, addressing areas such as the resignation of legal representatives, corporate external guarantees, connected transactions, piercing the corporate veil, liabilities of sole-person companies, shareholder capital contributions and liabilities, nominal shareholding, investor rights protection, equity transfer, pre-emptive rights, corporate governance, dissolution and liquidation, and special provisions for listed companies. Furthermore, it aims to clarify the adjudication standards for various types of corporate dispute cases, strengthen the legal liabilities of shareholders, directors, supervisors, senior management, and actual controllers, and improve systems related to corporate liquidation, equity transfer, investor protection, and the governance of listed companies.
